1. Nature of Services
Emtillect Business Services (“Emtillect”) provides bookkeeping support, financial information, operational analysis, workflow design, compensation modeling, and administrative systems support for small businesses.
All services are provided for informational and organizational purposes only. Emtillect does not provide:
Legal advice
Tax advice
Accounting opinions or attest services
CPA services
Investment or financial advisory services
Clients are responsible for consulting licensed professionals (CPA, attorney, tax advisor, financial advisor) before making decisions based on information provided.
2. No Professional Advice Disclaimer
Information provided by Emtillect:
Reflects professional experience and analytical judgment
Is not a substitute for licensed professional advice
Should not be relied upon as sole decision-making authority
No client relationship with Emtillect creates a fiduciary duty.
3. Client Responsibility
Clients acknowledge and agree that they:
Retain full responsibility for business decisions
Are responsible for the accuracy of information they provide
Understand that outcomes depend on factors outside Emtillect’s control
Emtillect does not guarantee financial results, profitability, compliance outcomes, or business success.
4. Limitation of Liability
To the fullest extent permitted by Kentucky law:
Emtillect’s total liability is limited to the fees paid by the client for the specific service giving rise to the claim
Emtillect is not liable for indirect, incidental, consequential, punitive, or lost-profit damages
5. Indemnification
Clients agree to indemnify and hold harmless Emtillect from claims arising from:
Client decisions or actions
Reliance on information without appropriate professional consultation
Inaccurate or incomplete client-provided data
6. No Guarantees
Emtillect makes no warranties, express or implied, including:
Merchantability
Fitness for a particular purpose
Guaranteed outcomes
7. Scope Control
Services are limited to the scope defined in:
Written agreements
Engagement letters
Service descriptions
Any work outside scope requires written agreement.
8. Governing Law and Venue
These Terms of Service shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to conflict-of-law principles.
Any legal action or proceeding arising out of or relating to these Terms or the services provided by Emtillect shall be brought exclusively in the state or federal courts located within the Commonwealth of Kentucky, and the parties consent to personal jurisdiction and venue therein.
9. Acceptance of Terms
Use of Emtillect services constitutes acceptance of these Terms of Service.

5. Client Responsibility
Clients are responsible for:
Providing accurate information
Maintaining the security of their own systems, passwords, and accounts
Understanding that decisions made using provided information remain their responsibility
6. Data Retention
Emtillect retains client information only for as long as necessary to:
Fulfill service obligations
Meet legal, tax, or professional requirements
Information is securely deleted or anonymized when no longer required.
7. Client Rights
Clients may request to:

Correct inaccurate information
Request deletion where legally permissible
Requests can be made by contacting Emtillect directly.
